These Terms of Service govern your access to and use of TheBrokers platform. Please read them carefully before subscribing or inviting team members. By using TheBrokers you agree to be bound by these Terms in their entirety. If you do not accept these Terms, you must not access or use the Service.
01.Acceptance of Terms
These Terms of Service (the "Terms") constitute a legally binding agreement between you ("Customer", "you", or "your") and TheBrokers FZ-LLC, a company incorporated in the Dubai International Financial Centre (DIFC), Dubai, United Arab Emirates ("TheBrokers", "we", "us", or "our"). These Terms govern your use of TheBrokers platform, including all web applications, APIs, data services, and related products (collectively, the "Service").
By creating an account, accepting an invitation to join an existing account, subscribing to any plan, or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
If you are accepting these Terms on behalf of a company, organisation, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In that case, "you" and "your" will refer to that entity.

03.Account Registration and Responsibilities
To access the Service you must register for an account by providing accurate, current, and complete information as prompted during the registration process. You agree to keep your account information up to date throughout the duration of your subscription.
As the account holder, you are solely responsible for:
- Maintaining the confidentiality of your login credentials and any API keys issued to your account.
- All activities that occur under your account, whether authorised by you or not.
- Promptly notifying TheBrokers of any suspected unauthorised access or security breach through the in-app support channel.
- Ensuring that all team members you invite to your account have read and agree to be bound by these Terms.
- Providing accurate organisational details, including your Real Estate Regulatory Authority (RERA) broker registration number where required by the platform.
TheBrokers accounts are not transferable. You may not sell, transfer, or assign your account credentials or subscription rights to any third party without TheBrokers's prior written consent.
You must be at least 18 years of age to create an account and use the Service. Organisations registering on behalf of employees represent that such employees are of legal working age in their jurisdiction of employment.
04.Subscription and Billing
Access to paid features of the Service is subject to payment of the applicable subscription fees. All subscription fees are denominated in United Arab Emirates Dirhams (AED) unless otherwise expressly agreed in writing.
Billing Cycles. Subscriptions are billed either monthly or annually, as selected at the time of purchase or as otherwise agreed. Monthly subscriptions are billed on the same calendar day each month. Annual subscriptions are billed once per year on the anniversary of the subscription start date. Subscription fees are paid in advance for the upcoming billing period.
Auto-Renewal. Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. You will receive a renewal reminder by email at least seven (7) days before the scheduled renewal for monthly plans, and thirty (30) days before renewal for annual plans.
Payment Methods. Accepted payment methods include major credit and debit cards and such other payment methods as TheBrokers may make available from time to time. By providing payment information, you authorise TheBrokers to charge the applicable fees to your designated payment method on the applicable billing date.
Price Changes. TheBrokers may adjust subscription pricing with no less than thirty (30) days' written notice to existing subscribers. Continued use of the Service after the effective date of a price change constitutes acceptance of the new pricing.
Taxes. All subscription fees are exclusive of applicable taxes. Where UAE Value Added Tax (VAT) or any other applicable tax is due, it will be applied to invoices at the prevailing rate. You are responsible for any taxes, levies, or duties imposed by your jurisdiction in connection with your use of the Service.
Failed Payments. If a payment fails, TheBrokers will attempt to re-charge the payment method up to three times over a period of seven (7) days. If payment is not received within this period, the relevant subscription may be downgraded or suspended until outstanding amounts are settled. Accounts in arrears for more than thirty (30) days may be terminated at TheBrokers's discretion.
Refunds. Subscription fees are non-refundable except where required by applicable UAE consumer protection law, or at TheBrokers's sole discretion on a case-by-case basis. The 14-day free trial period is provided to allow evaluation of the Service before committing to a paid subscription.
05.AI Features Disclaimer
The Service incorporates artificial intelligence and machine learning capabilities, including but not limited to lead scoring, property matching, content generation, and market analysis. You acknowledge and agree to the following terms specifically applicable to these AI-powered features:
Nature of AI Output. AI-generated content, scores, recommendations, and analyses are produced by computational models trained on historical and real-time data. Such outputs are probabilistic and inherently subject to error, bias, and inaccuracy. TheBrokers does not warrant that AI outputs will be correct, complete, current, or fit for any particular purpose.
Lead Scoring Accuracy. The AI lead scoring feature provides a numerical readiness indicator (0–100) based on data signals available to the system. This score is a decision-support tool only and is not a guarantee of transactional intent or outcome. Actual lead conversion depends on a wide range of factors outside the scope of the model.
No Financial or Investment Advice. Nothing in the Service, including any AI-generated market analysis, investment projections, yield calculations, valuation estimates, or portfolio summaries, constitutes financial, legal, tax, or investment advice. All such information is provided for informational purposes only and must not be relied upon as professional advice. You should obtain independent professional advice before making any financial, investment, or property-related decisions.
Human Review Obligation. Before transmitting any AI-generated communication to clients or third parties — including WhatsApp messages, payment reminders, or property recommendations — you must review and approve the content. You are solely responsible for all communications sent from your account, whether AI-assisted or otherwise.
Automated Decisions. To the extent permitted by applicable law, you agree not to use AI-generated outputs from the Service as the sole basis for making automated decisions that produce significant legal or similarly significant effects on individuals, without appropriate human oversight.
06.Acceptable Use Policy
You agree to use the Service only for lawful purposes and in a manner that does not infringe the rights of others or restrict or inhibit their use and enjoyment of the Service. You must not use the Service to:
- Violate any applicable local, national, or international law or regulation, including UAE Federal laws, DIFC regulations, and any regulations issued by the Dubai Land Department (DLD), RERA, or other applicable regulatory authorities.
- Transmit, upload, or distribute any content that is unlawful, defamatory, harassing, fraudulent, obscene, or otherwise objectionable.
- Impersonate any person or entity, or falsely represent your affiliation with any person or entity.
- Introduce malicious code, viruses, worms, trojans, or other harmful software into the platform or infrastructure.
- Attempt to gain unauthorised access to any portion of the Service, any other user's account, or any computer systems or networks connected to the Service.
- Scrape, data-mine, or extract data from the Service using automated tools without TheBrokers's prior written consent.
- Use the Service to send unsolicited commercial communications (spam) in violation of UAE anti-spam regulations or the policies of communication platforms such as WhatsApp.
- Resell, sublicense, or provide access to the Service to third parties who are not authorised users under your subscription plan.
- Circumvent any security, rate-limiting, or access-control mechanism of the Service.
- Use the Service in connection with any money laundering, terrorist financing, or other activity prohibited by UAE Federal Law No. 20 of 2019 on Anti-Money Laundering.
TheBrokers reserves the right to investigate suspected violations of this Acceptable Use Policy and to suspend or terminate accounts found to be in breach, without prior notice and without liability to you.
07.Intellectual Property
The Service, including all software, algorithms, interfaces, documentation, trademarks, trade names, trade dress, and other intellectual property embodied therein, is owned by or licensed to TheBrokers and is protected by UAE and international intellectual property laws. Nothing in these Terms transfers ownership of any TheBrokers intellectual property to you.
Subject to your compliance with these Terms and timely payment of all applicable fees, TheBrokers grants you a limited, non-exclusive, non-transferable, non-sublicensable licence to access and use the Service solely for your internal business purposes during the subscription term.
You may not copy, modify, translate, create derivative works from, reverse-engineer, decompile, disassemble, or otherwise attempt to derive source code or trade secrets from any part of the Service. You may not remove, alter, or obscure any proprietary notices displayed on or within the Service.
If you provide TheBrokers with feedback, suggestions, or ideas regarding the Service ("Feedback"), you grant TheBrokers a perpetual, irrevocable, royalty-free, worldwide licence to use, reproduce, modify, and incorporate such Feedback into the Service or any other products without any obligation of compensation or attribution to you.
08.Data Ownership
Your Data. You retain full ownership of all data that you and your authorised users input into the Service, including but not limited to client records, contact information, deal data, property details, financial data, documents, and communications ("Customer Data"). TheBrokers makes no claim of ownership over Customer Data.
Licence to Process. By using the Service, you grant TheBrokers a limited, non-exclusive licence to access, store, process, and use Customer Data solely to the extent necessary to provide, maintain, improve, and secure the Service, and as described in our Privacy Policy. TheBrokers will not sell Customer Data to third parties or use it for purposes unrelated to the provision of the Service.
Data Portability. You may export your Customer Data at any time during an active subscription using the data export tools available within the Service. Upon termination of your account, TheBrokers will retain Customer Data for a period of thirty (30) days during which you may request an export. After this period, Customer Data will be permanently deleted from TheBrokers's production systems, subject to any retention obligations imposed by applicable law.
Data Protection. TheBrokers processes Customer Data in accordance with UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data (PDPL) and applicable DIFC Data Protection Law. Where Customer Data includes personal data of your end clients, you are the data controller and TheBrokers acts as a data processor on your behalf. You are responsible for obtaining any necessary consents from your end clients for the processing of their personal data through the Service.
Aggregated and Anonymised Data. TheBrokers may derive aggregated, anonymised, and de-identified insights from Customer Data (collectively with usage data, "Platform Analytics"). Platform Analytics do not identify you or your clients and may be used by TheBrokers for product development, benchmarking, and marketing purposes.
09.RERA Compliance
TheBrokers platform is designed to assist real estate brokerages operating in Dubai and the broader UAE in organising their workflows and maintaining records in a manner broadly consistent with regulatory expectations. However, use of the Service does not, in itself, constitute compliance with any regulatory obligation.
You acknowledge and agree that:
- You are solely responsible for ensuring that your brokerage and all of your brokers hold valid and current RERA registration, and that your operations comply in full with the Real Estate Regulatory Authority requirements, the Dubai Land Department (DLD) regulations, and all applicable UAE Federal and Emirate-level legislation governing real estate activities.
- TheBrokers is a technology platform and not a regulated real estate broker, agent, or investment adviser. TheBrokers is not responsible for, and expressly disclaims liability in respect of, any regulatory non-compliance on your part.
- The platform's compliance assistance features, including document checklists, lifecycle stage reminders, and payment tracking tools, are provided as administrative aids only. You must independently verify that all required regulatory filings, registrations, disclosures, and consents have been obtained and are up to date.
- Anti-money laundering (AML) obligations under UAE Federal Law No. 20 of 2019 and associated RERA/DLD guidelines remain entirely your responsibility. TheBrokers's client onboarding and KYC tools are intended to assist with record-keeping and are not a substitute for a qualified AML compliance officer or programme.
- TheBrokers shall bear no liability for any fines, penalties, sanctions, or other regulatory consequences arising from your failure to comply with applicable real estate or financial regulations.
10.Limitation of Liability
Exclusion of Consequential Losses. To the maximum extent permitted by applicable UAE law, TheBrokers and its officers, directors, employees, affiliates, and licensors shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, revenue, business, data, goodwill, or anticipated savings, arising out of or in connection with your use of or inability to use the Service, even if TheBrokers has been advised of the possibility of such damages.
Cap on Liability. Subject to the following paragraph, TheBrokers's total aggregate liability to you for all claims arising out of or in connection with these Terms or the Service shall not exceed the total subscription fees paid by you to TheBrokers in the twelve (12) calendar months immediately preceding the event giving rise to the claim.
Exceptions. Nothing in these Terms limits or excludes TheBrokers's liability for death or personal injury caused by its negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable UAE law.
Service Availability. The Service is provided on an "as is" and "as available" basis. TheBrokers does not warrant that the Service will be uninterrupted, error-free, or free from security vulnerabilities. TheBrokers targets a monthly uptime of 99.5% for its core services and will communicate any scheduled maintenance in advance where practicable.
11.Governing Law and Dispute Resolution
These Terms and any dispute or claim arising out of or in connection with them or their subject matter, formation, or existence (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the United Arab Emirates as applied in the Emirate of Dubai.
Jurisdiction. The parties agree to submit to the exclusive jurisdiction of the courts of Dubai, UAE, for the resolution of any dispute arising out of or in connection with these Terms or the Service. Nothing in this clause prevents TheBrokers from seeking urgent injunctive or other equitable relief from a court of competent jurisdiction.
Informal Resolution. Before commencing formal legal proceedings, you agree to first notify TheBrokers of the dispute in writing and allow thirty (30) days for the parties to attempt to resolve the dispute in good faith through direct negotiation.
12.Termination
Termination by You. You may cancel your subscription at any time by accessing the account settings within the Service or by contacting TheBrokers support. Cancellation takes effect at the end of the current billing period. You will retain access to the Service until the end of the period for which you have paid, but no partial refunds will be issued for unused time within a billing period, except as required by applicable UAE law.
Termination by TheBrokers. TheBrokers may suspend or terminate your account immediately upon written notice if:
- You materially breach these Terms and fail to cure the breach within fourteen (14) days of written notice.
- You breach these Terms in a manner that cannot be cured, including any breach of the Acceptable Use Policy involving illegal activity.
- You become insolvent, enter into liquidation, or are subject to any analogous insolvency proceedings.
- TheBrokers is required to do so by applicable law or a lawful order of a competent authority.
Effect of Termination. Upon termination, all licences and rights granted to you under these Terms will cease immediately. Sections that by their nature should survive termination — including but not limited to Sections 7 (Intellectual Property), 8 (Data Ownership), 10 (Limitation of Liability), 11 (Governing Law), and 14 (Contact Information) — will remain in full force and effect.
13.Changes to Terms
TheBrokers reserves the right to modify these Terms at any time. When we make material changes, we will provide at least thirty (30) days' advance notice by sending an email to the account owner's registered email address and by displaying a prominent notice within the Service dashboard. Changes to address minor or administrative matters, to comply with new legal requirements, or to add new Service features may take effect immediately.
Your continued use of the Service after the effective date of any updated Terms constitutes your acceptance of those changes. If you do not agree to the updated Terms, you must stop using the Service and cancel your subscription before the effective date. The most current version of these Terms will always be available at thebrokers.ae/terms.
14.Contact Information
For questions, concerns, or requests regarding these Terms, or for general account support, billing enquiries, or technical issues, please use the in-app support chat. The support team is available during UAE business hours, Sunday through Thursday.
